As you know, over the past three months, we have been assisting Broadcom in securing a buyer for our IP Networking businesses. We are pleased to let you know that today Broadcom and ARRIS announced that they have reached a definitive agreement for the purchase of our Ruckus business unit, which includes the wireless and ICX product and service portfolios.

ARRIS is one of the world’s leading providers of entertainment and communications solutions for cable operators, satellite TV providers, telcos, content providers and retailers. With annual revenues of over $5 billion and more than 6,500 employees around the world, ARRIS has a strong vision, highly complementary solutions and technologies, and the resources to continue to advance the innovation and reach of the Ruckus wireless and ICX product families.

ARRIS views this acquisition as strategic to its vision to broaden its service provider Wi-Fi access portfolio and to expand its addressable market to include enterprise wired and wireless LAN. ARRIS plans to invest in the long-term product and technology roadmap we have developed, and to accelerate growth and optimize emerging opportunities.

Broadcom has stated that the acquisition is expected to close approximately one month following the close of Broadcom’s acquisition of Brocade, which we now expect will occur in our third fiscal quarter, ending July 29, 2017. In the meantime, it’s business as usual. All Brocade/Ruckus partner programs, account management support and infrastructure remain in place, for the full breadth of Brocade’s portfolio.

Post-acquisition, ARRIS plans for Ruckus to continue as a dedicated business unit headed by current Ruckus COO, Dan Rabinovitsj, maintaining dedicated channel, sales, marketing, product management and engineering organizations. Under Dan’s leadership, Ruckus will retain the focus on partners that both Ruckus and Brocade are known for, and on continuing the sales momentum we’ve already seen with a combined wireless and wired portfolio, with the added scale, stability and resources the completion of the ARRIS’ acquisition is expected to bring.

Broadcom continues to actively seek buyers for our data center and software networking businesses, and is in discussions with multiple interested parties. Broadcom and Brocade will be coordinating closely on go-forward plans for these other businesses, to help ensure a smooth transition for partners selling a combination of network edge with data center and/or software solutions.
